1.4 ZenoCar may approve, reject, suspend or remove a Host, Vehicle or Chauffeur where reasonably necessary for safety, verification, legal compliance, fraud prevention or breach.
1.5 ZenoCar approval does not transfer the Host's legal responsibilities or make ZenoCar the owner, operator or employer of the Host, Vehicle or Chauffeur.

5. HOST–CUSTOMER RESPONSIBILITIES
The Host is responsible for delivering the Vehicle and Service in accordance with the Booking Details, applicable law and ZenoCar requirements.
The Host must treat Customers professionally and must not threaten, harass, discriminate against, exploit or unlawfully solicit a Customer.
Customer information obtained through ZenoCar must not be used to divert bookings, conduct unauthorised private business or circumvent ZenoCar fees or Platform arrangements.
The Host must not request or accept payment outside the Platform where doing so circumvents an applicable ZenoCar payment arrangement.
6. FARES & HOST PAYMENTS
Applicable fares, commissions, Platform fees, Host earnings and other charges will be displayed through the Platform or agreed commercial terms.
ZenoCar may deduct amounts properly due, including commissions, Platform fees, refunds, adjustments, chargebacks or verified amounts arising from a booking, subject to applicable law.

The Host remains responsible for taxes and statutory obligations arising from its earnings, except where ZenoCar is legally required to withhold or remit them.
7. CANCELLATION & SERVICE FAILURE
Host cancellations, No-Shows and service failures are governed by the ZenoCar Cancellation Policy and applicable Booking Details.
Repeated cancellations, unjustified refusal of bookings, failure to appear, material delays or failure to provide the confirmed Service may result in appropriate financial adjustments, reduced access, suspension or termination, subject to applicable law.

To the extent permitted by law, the Host is responsible for claims, losses, damages, penalties, costs and expenses arising from matters for which the Host is responsible.
To the extent permitted by law, the Host will indemnify ZenoCar against third-party claims arising from the Host's Vehicle, Chauffeur, negligence, misconduct, breach of this Agreement or failure to comply with applicable law.
This indemnity does not apply to the extent the loss was directly caused by ZenoCar's own negligence, wilful misconduct or a legal duty that cannot lawfully be excluded or transferred.
10. ZENOCAR'S ROLE
The Host operates independently and remains responsible for the Vehicle and Service.
Nothing in this Agreement creates a partnership, employment relationship or joint venture between ZenoCar and the Host.
The Host has no authority to bind or represent ZenoCar.
ZenoCar may provide Platform, booking, payment, communication and operational services without assuming responsibilities that legally belong to the Host.
11. DATA & MONITORING
ZenoCar may process Host, Vehicle, booking, payment, communication, location and operational information for Platform administration, safety, fraud prevention, dispute resolution and legal compliance.
GPS, telematics, dash cameras and other lawful monitoring systems may be used.

ZenoCar may request updated documents reasonably required for verification, safety or legal compliance.
The Host must not manipulate bookings, ratings, reviews, trip records, payments or Platform activity.
Persistent poor performance, unsafe conduct, serious complaints or material breaches may result in corrective action, suspension or termination.
13. SUSPENSION & TERMINATION
ZenoCar may suspend or terminate a Host, Vehicle or Chauffeur where reasonably necessary because of material breach, fraud, unsafe conduct, loss of required licensing or insurance, false information, non-compliance or legal requirements.
ZenoCar may temporarily restrict access while investigating serious concerns.
The Host may end its participation by giving notice through the Platform or designated channel, subject to resolving outstanding bookings.
Termination does not affect accrued payment obligations, confidentiality, indemnity, liability or other provisions intended to survive.
14. DISPUTES & GOVERNING LAW
The Host must reasonably cooperate with ZenoCar in responding to Customer complaints and claims.
ZenoCar may review relevant booking, payment, communication, location and Vehicle records when investigating disputes, subject to applicable law.
For Services provided in Nigeria, Nigerian law applies unless mandatory law provides otherwise.
The parties should first use ZenoCar's designated resolution process. Where unresolved, any party may use a lawful dispute-resolution mechanism.
15. CHANGES & GENERAL
ZenoCar may update this Agreement where reasonably necessary due to changes in the Platform, Services, law, safety requirements or business operations.
Material changes will be communicated where required.
If any provision is invalid or unenforceable, the remaining provisions remain effective.
